Terms of Service

These terms govern your use of PrivyLogic, operated by Amafi. By creating an account or using the service, you agree to these terms. If you don't agree, don't use the service.

• You must provide accurate information and keep it current.
• You are responsible for activity under your account, including any users on your team plan.
• Sharing credentials between people is not permitted — each user needs their own account.
• We may suspend or close accounts that violate these terms or pose security risks.

• Subscriptions renew automatically until you cancel from the account → billing page.
• Payment is processed by Stripe. We are not responsible for Stripe processing fees, currency conversion, or your bank's charges.
• Quotas (lookups, exports, API calls, saved lists) reset at the start of each UTC calendar month.
• Cancellation takes effect at the end of your current billing period — no refund for unused time.
• We may change pricing with 30 days' notice; the new price applies on your next renewal.

You agree not to:

• Resell, white-label, or otherwise redistribute the service or its data.
• Scrape, mirror, or build a derivative dataset from the service. The data is licensed to you for internal research and decision-making, not for republication.
• Probe, attack, or attempt to bypass authentication, rate limits, or audit logging.
• Use the service to send spam, phish, or impersonate another person or company.
• Use the service in violation of applicable law, including export controls and sanctions.

PrivyLogic compiles and curates deal, investor, and company records. We strive for accuracy but make no warranty that any specific record is current, complete, or error-free. Decisions based on the data are yours; verify before acting on a deal-relevant fact.

• PrivyLogic and Amafi retain all rights in the service, the user interface, the search ranking, and the aggregated dataset.
• You retain rights to your saved lists, your annotations, and the queries you run. We need a limited internal license to operate, secure, and improve the service.
• Feedback you give us is non-confidential — we may use it to improve the product without owing you anything.

API keys are scoped to your account and inherit your plan's quota. You are responsible for keeping keys secret. Treat them like passwords. We may rotate or revoke keys that appear compromised.

You can delete your account from the account → security page at any time. We may terminate access for material breach of these terms or for repeated abuse. Upon termination we will close active sessions and cancel any active Stripe subscription.

The service is provided "as is" and "as available." To the fullest extent permitted by law we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, our aggregate liability for any claim arising out of the service is limited to the amount you paid in the twelve months before the claim. We are not liable for indirect, incidental, special, or consequential damages, including lost profits or lost opportunities.

These terms are governed by the laws of New South Wales, Australia. Disputes are submitted to the exclusive jurisdiction of the courts of Sydney, Australia, unless local consumer law in your home jurisdiction grants you a non-waivable right to a local forum.

We may update these terms. Material changes are posted here with a new effective date. Continued use after a change means you accept the updated terms.
